Terms of Service

By accessing or using Booklet ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using Booklet on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

Booklet is a cloud-based business management platform that provides tools for accounting, inventory management, sales, human resources, payroll, and AI-powered business automation. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice to users.

3.1 Account requirements

You must provide accurate and complete information when creating an account. You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction.

3.2 Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must immediately notify us of any unauthorized access at security@booklet.io.

3.3 Account termination

We reserve the right to suspend or terminate accounts that violate these Terms, are used for fraudulent purposes, or remain inactive for more than 24 months (with 30 days prior notice).

4.1 Plan selection

Booklet is offered on a subscription basis. Plans differ in the number of branches, users, and features available. You select a plan at signup and can change plans at any time.

4.2 Billing and renewal

Subscriptions are billed monthly, quarterly, semiannually, or annually based on your selection. Non-monthly subscriptions are billed upfront. Subscriptions automatically renew unless cancelled before the renewal date, except where noted for cycles without an auto-renewing payment method.

4.3 Pricing changes

We may change subscription prices with 30 days advance notice. Price changes will not apply to your current billing period. Your continued use after the effective date constitutes acceptance of the new pricing.

4.4 Payment failure

If a payment fails, we will attempt to retry for up to 14 days. After that, your account may be suspended. You will have 30 days to resolve payment before account data is at risk of deletion (with advance notice).

4.5 Refunds

Monthly subscriptions may be cancelled at any time with no refund for the current billing period. Annual subscriptions are eligible for a pro-rated refund within the first 30 days if you are not satisfied.

4.6 Free trial

New accounts receive a 14-day free trial with full access. No payment information is required to start. After the trial, you must select a paid plan to continue using the Service.

5.1 Permitted use

You may use Booklet solely for your internal business operations, in compliance with all applicable laws and regulations.

5.2 Prohibited activities

You agree not to: (a) violate any applicable law or regulation; (b) use the Service to store or process unlawful financial transactions; (c) attempt to gain unauthorized access to any part of the Service or another user's account; (d) reverse engineer, decompile, or attempt to derive the source code of the Service; (e) use the Service to transmit malware, spam, or abusive content; (f) create multiple free accounts to circumvent trial limits; (g) use automated tools to scrape or extract data from the platform without authorization.

5.3 Suspension for violations

We reserve the right to immediately suspend or terminate access to the Service for violations of this section, without notice and without refund.

6.1 Your data

You retain full ownership of all data you input into Booklet, including financial records, customer data, employee information, and any other business data. We act solely as a data processor on your behalf.

6.2 Data export

You can export a complete copy of your data at any time through the platform (Settings → Export Data) in standard machine-readable formats. Export includes all financial records, contacts, and configuration.

6.3 Data deletion

Upon account closure, you may request deletion of your data. We will delete or anonymize personal data within 30 days, subject to legal retention requirements. See our Privacy Policy for full details.

6.4 Processing

We process your data only as necessary to provide the Service and as described in our Privacy Policy. We do not analyze your business data for competitive intelligence or sell it to third parties.

7.1 Uptime commitment

We work to maintain high availability of the core Service, excluding scheduled maintenance windows.

7.2 Scheduled maintenance

Planned maintenance is communicated at least 24 hours in advance via in-app notification and email. We schedule maintenance during low-traffic hours (typically weekends, 00:00–04:00 UTC).

7.3 Unplanned outages

In the event of an unplanned outage, we will communicate status updates within 30 minutes of detection and provide a post-incident report within 5 business days for outages exceeding 1 hour.

8.1 Our IP

Booklet, its software, design, AI models, documentation, and underlying technology are the proprietary intellectual property of Booklet and its licensors. These Terms do not transfer any intellectual property rights to you.

8.2 License to use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription period, solely for your internal business purposes and in accordance with these Terms.

8.3 Feedback

If you provide feedback or suggestions about the Service, you grant us a royalty-free, worldwide, perpetual license to use and incorporate that feedback without any obligation to you.

Each party agrees to keep confidential the other party's non-public information that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, already known to the receiving party, or independently developed. Our obligations regarding your data are further governed by our Privacy Policy.

10.1 Our warranty

We warrant that the Service will perform materially in accordance with the documentation during your subscription period. If it does not, your exclusive remedy is the right to terminate your subscription and receive a pro-rated refund.

10.2 Disclaimer

EXCEPT AS EXPRESSLY SET OUT IN SECTION 10.1, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

10.3 Financial accuracy

Booklet is a tool to assist with financial management. You are responsible for verifying the accuracy of all financial data, reports, and calculations. Booklet does not provide accounting, tax, legal, or financial advice. Consult qualified professionals for such advice.

11.1 Cap on liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11.2 Exclusion of damages

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Essential basis

THE LIMITATIONS IN THIS SECTION REFLECT AN ALLOCATION OF RISK BETWEEN THE PARTIES AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US. THESE LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

You agree to indemnify and hold harmless Booklet and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Service in violation of these Terms, your violation of any applicable law, or your infringement of any third-party rights.

13.1 Informal resolution

Before initiating any formal dispute, you agree to first contact us at legal@booklet.io and provide 30 days to attempt informal resolution. Most disputes can be resolved this way.

13.2 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration under the rules of the applicable arbitration body in our jurisdiction. The arbitration shall be conducted in English.

13.3 Class action waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis only and not as part of a class, consolidated, or representative action.

These Terms are governed by and construed in accordance with applicable commercial law. Where mandatory local consumer protection laws apply to you, those laws take precedence over any conflicting provisions of these Terms.

We may update these Terms from time to time. We will notify you of material changes via email and in-app notification at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may cancel your subscription before the effective date.
